Acceptance

These terms are an agreement between you and HereAI. By using this website you accept them. If you do not accept them, do not use the site.

If you are using the site for an organisation, you confirm that you have authority to accept these terms for that organisation, and "you" means both of you.

What these terms cover

These terms govern this website and the material on it. They do not govern the Mira platform or any other paid service. Those are covered by the separate written agreement we sign with each customer. Where that agreement and these terms disagree about a paid service, that agreement wins.

Using the site

We grant you a personal, revocable, non exclusive and non transferable right to view this site and its content for your own information and for evaluating whether to work with us. That is the whole of the permission we are giving you.

You agree not to:

• copy, republish, sell or commercially exploit any part of the site without our written permission
• scrape, harvest or systematically extract content, or use the site to build a dataset or train a model
• probe, scan or test the vulnerability of the site, or breach or circumvent any security or authentication measure
• interfere with the site, overload our infrastructure, or introduce malicious code
• misrepresent who you are, or submit information that is false, unlawful, infringing or someone else's to give
• use the site in a way that breaks any applicable law or regulation, including export control and sanctions rules

We may suspend or withdraw access to the site, in whole or in part, at any time and without notice.

Intellectual property

The site and everything in it, including text, graphics, schematics, photography, layout, code and the look and feel, belongs to HereAI or our licensors and is protected by intellectual property law. Nothing on the site transfers any of those rights to you.

"HereAI", "Mira" and our logos are our trademarks. You may not use them without our written permission. Other names and logos on the site belong to their respective owners and appear with permission or as permitted by law. Their appearance does not imply that they endorse us.

What you send us

You are responsible for anything you submit through a form or send to an address on this site, and you confirm you have the right to send it. Do not send us confidential information through the site. Nothing you send through the site creates a confidentiality obligation on us unless we have already signed one with you.

If you send us feedback, an idea or a suggestion, you grant us a worldwide, perpetual, irrevocable, royalty free right to use it for any purpose without owing you anything or crediting you. We are not obliged to keep it confidential.

Personal information you send is handled as described in our Privacy Policy.

Product information and performance figures

The site describes what our products do and, in places, publishes performance figures and results. Those figures come from specific engagements, deployments and internal measurements under particular conditions. They are illustrative. They are not a promise, a warranty or a guarantee that you will see the same outcome, and results vary with data quality, integration, industry, scale and how the product is used.

Statements about what we plan to build are statements of current intent, not commitments. We may change or discontinue any feature. Nothing on this site should be relied on in making a purchasing decision. What we are contractually committing to is what appears in a signed agreement.

The site links to sites we do not control. We provide those links for convenience. We do not endorse them, we are not responsible for their content or practices, and visiting them is at your own risk.

Availability

We do our best to keep the site up, but we do not promise it will be available without interruption or free of error. We may change, suspend or withdraw the site or any part of it at any time. We are not liable to you if the site is unavailable for any period.

Disclaimers

To the fullest extent permitted by law, the site and its content are provided as is and as available, without warranty of any kind, whether express, implied or statutory. We specifically disclaim the implied warranties of merchantability, fitness for a particular purpose, title and non infringement, and any warranty that the site will be accurate, complete, current, secure or uninterrupted.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply to you only as far as the law allows.

Limitation of liability

To the fullest extent permitted by law, HereAI and its officers, employees, agents and suppliers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or connected with your use of this site, whether the claim is in contract, tort, negligence, strict liability or otherwise, and whether or not we were told such damages were possible.

Our total liability arising out of or connected with this site and these terms will not exceed one hundred United States dollars.

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, or for fraud.

Indemnity

You agree to indemnify HereAI and hold it harmless against any claim, loss, liability, cost or expense, including reasonable legal fees, arising out of your use of the site, your breach of these terms, or your violation of any law or of the rights of a third party.

Changes to these terms

We may update these terms. The effective date at the top tells you which version is current. Changes take effect when they are posted, and continuing to use the site after that means you accept them. If a change is significant we will flag it on the site.

Governing law and disputes

These terms and any dispute arising out of them or the site are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware, and each of us waives any objection to venue there.

If you are a consumer resident in the European Economic Area or the United Kingdom, nothing here deprives you of the protection of the mandatory law of the country you live in, or of the right to bring proceedings in the courts of that country.

General

If any provision of these terms is held unenforceable, the rest stays in force and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets. There are no third party beneficiaries.

These terms, together with the Privacy Policy and any notices posted on the site, are the entire agreement between you and us in relation to this site, and replace anything said before on the subject.
